This Agreement constitutes a binding legal contract between Qllap, Inc. ("Qllap") and the client ("Client"). By accessing Qllap’s website (the "www.qllap.com"), Client agrees to these terms. If Client does not agree, they must immediately discontinue use. Ongoing obligations related to payment for services remain enforceable.

1. Intellectual Property

All content on the Website, including but not limited to source code, databases, graphics, and trademarks, is owned by Qllap and protected under intellectual property laws. No content may be reproduced or distributed for commercial purposes without written consent from Qllap.

2. Ownership of Projects

Client owns all final design files created by Qllap. Qllap assigns any ownership rights to the Client upon completion of a project. The Client warrants that all materials provided to Qllap are their property and do not infringe on third-party rights.

3. Third-Party Fonts

If a project incorporates fonts requiring a commercial license, Qllap will notify the Client. The Client is responsible for purchasing the necessary licenses for legal use.

4. User Representations

By using the Website, the Client affirms that they are of legal age and will not use the Website for illegal or unauthorized purposes. The Client agrees to comply with all laws governing their use of the Website.

5. Prohibited Activities

Clients are prohibited from using the Website for any purpose other than for which it was designed. This includes, but is not limited to, unauthorized data collection, reverse engineering, or disrupting the functionality of the Website.

6. Client Feedback

Any feedback or suggestions provided by the Client become the property of Qllap, which may use it without further obligation or compensation to the Client.

7. Website Management

Qllap reserves the right to monitor use, restrict access, and take legal action against any violations of these terms.

8. Privacy Policy

By using the Website, the Client agrees to the terms of the Privacy Policy, including the processing of data within the U.S.

9. Refunds

We stand behind the exceptional quality of our work and, as such, do not offer refunds. However, we are committed to your satisfaction and will go the extra mile to ensure you're happy with our service.

10. Modifications

Qllap reserves the right to modify or discontinue the Website at any time without liability to the Client.

11. Service Interruptions

Qllap does not guarantee uninterrupted Website access and is not liable for any service disruptions.

12. Governing Law

These terms are governed by the laws of Ontario, Canada.

13. Legal Disputes

All legal actions must be brought in the courts of Ontario, and the parties consent to jurisdiction in those courts.

14. Disclaimer

The Website is provided “as-is.” Qllap disclaims all warranties, express or implied.

15. Limitation of Liability

Qllap is not liable for any damages arising from the Client’s use of the Website. The Client agrees to indemnify Qllap against any third-party claims.

17. Electronic Communications

By using the Website, the Client consents to receive electronic communications and agrees to electronic signatures and records.

18. Showcasing Work

Qllap reserves the right to showcase Client work unless a Non-Disclosure Agreement is in place.

19. Referrals

Referral payouts are managed by third-party platforms.

​

20. Miscellaneous

These Terms represent the entire agreement between Qllap and the Client. Severed provisions will not affect the remainder of the Terms.
